Terms of Service

1. Acceptance of Terms

By engaging AMG AI Solutions ("Consultant," "we," "us," or "our") for services, accessing our website, or submitting a contact form, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services or website.

These Terms constitute a legally binding agreement between the Client and AMG AI Solutions, an AI consulting firm based in Clearwater, Florida.

2. Scope of Services

AMG AI Solutions provides AI software consulting and implementation advice, including but not limited to:

• Data integration and silo elimination strategies.
• CRM automation and AI-optimized workflow design.
• Retrieval-Augmented Generation (RAG) system architecture and implementation guidance.
• AI data enrichment and private knowledge base development.
• Operational process audits and AI strategy consulting.
• Automation platform integration (Zapier, Make, Google Apps Script, ServiceTitan, DocuSign).

All services are provided on a consulting basis. Specific deliverables, timelines, and compensation are governed by individual service agreements or statements of work executed between the parties.

3. AI Liability Shield

The Client further acknowledges that:

• AI systems are probabilistic tools and not deterministic software; outputs may vary and require human review.
• The Client bears sole responsibility for validating AI-generated outputs before acting upon them in any business, legal, or financial context.
• AMG AI Solutions strongly recommends maintaining Human-in-the-Loop (HITL) oversight for all AI-assisted decisions.
• The Consultant is not responsible for third-party AI platform outages, model updates, or changes in third-party API behavior.

4. Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and timely information necessary for the Consultant to perform services.
• Maintain appropriate oversight of all AI systems implemented or advised upon by the Consultant.
• Ensure that any AI-generated outputs are reviewed by qualified personnel before use in business decisions.
• Comply with all applicable laws and regulations governing the use of AI and automated systems in their industry.
• Obtain all necessary licenses, permissions, and consents for third-party tools and platforms used in connection with our services.

5. Intellectual Property

Unless otherwise agreed in writing, all consulting methodologies, frameworks, templates, and proprietary processes developed by AMG AI Solutions remain the intellectual property of the Consultant. Custom deliverables created specifically for the Client under a paid engagement are transferred to the Client upon full payment.

The Client grants AMG AI Solutions a limited, non-exclusive license to access and use the Client's data and systems solely for the purpose of delivering contracted services.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. AMG AI Solutions will not disclose Client proprietary data to third parties except as required to deliver services (e.g., AI sub-processors) or as required by law. Client data is never used to train public AI models.

7. Payment Terms

Payment terms, rates, and schedules are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may be subject to a 1.5% monthly finance charge. The Consultant reserves the right to suspend services for accounts more than 30 days past due.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AMG AI Solutions' total liability to the Client for any claim arising out of or related to these Terms or any services provided shall not exceed the total fees paid by the Client to the Consultant in the three (3) months preceding the claim.

In no event shall AMG AI Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

9. Indemnification

The Client agrees to indemnify, defend, and hold harmless AMG AI Solutions and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with the Client's use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate a service engagement with 14 days' written notice. The Consultant reserves the right to terminate immediately for cause, including non-payment, breach of these Terms, or conduct that creates legal or reputational risk. Upon termination, the Client shall pay for all services rendered through the termination date.

The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings. If negotiation fails, disputes shall be submitted to binding arbitration in Pinellas County, Florida, under the rules of the American Arbitration Association, before resorting to litigation.

13. Modifications to Terms

AMG AI Solutions reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued engagement with our services following any modification constitutes acceptance of the revised Terms.
